Global freight giant JAS Worldwide has signed a Share Purchase Agreement to acquire UK-based Pentagon Freight Services, a long-established leader in freight forwarding, project logistics, and ships agency services. The acquisition, pending regulatory approval, is expected to close in the latter half of 2025.

With this move, JAS Worldwide aims to significantly deepen its footprint in key sectors like oil and gas, energy, marine, and construction. Pentagon Freight Services, founded in 1974, has built a strong reputation for handling complex, high-stakes logistics—particularly for energy majors and engineering firms operating across multiple continents.

“This acquisition perfectly complements JAS’s strategic goals,” said Marco Rebuffi, President and CEO of JAS Worldwide. “It significantly increases our ability to offer highly specialized logistics solutions in the oil and gas, marine, construction, and energy industries. We are looking forward to finalizing this acquisition to welcome Pentagon team members into the JAS family.”

Pentagon Freight Services is headquartered in the United Kingdom and employs more than 1,200 logistics professionals operating out of over 65 offices worldwide. The company is recognized as the largest privately-owned freight forwarder dedicated to the oil and gas sector. With a core focus on reliability and sector-specific knowledge, Pentagon’s services are tailored for clients with technically demanding, time-sensitive logistics needs.

“Our goal is to leverage our experience and continue to offer dedicated logistics solutions to our industry-leading clients,” said Ashley Taylor, CEO of Pentagon Group. “We are confident that JAS is the right company to expand our global network and achieve our growth ambitions. We look forward to growing stronger together with JAS.”

This acquisition marks another step in JAS Worldwide’s long-term strategy of targeted global expansion through sector-specialist acquisitions. Founded in Milan in 1978 and now headquartered in Atlanta, Georgia, JAS has built its global network to over 100 countries with a workforce of more than 7,000. The company continues to invest in innovative, sustainable logistics solutions designed for agility and client-focused service delivery.

Pentagon’s addition enhances JAS’s project logistics and freight forwarding capabilities, particularly in environments where technical complexity and delivery precision are mission-critical. From moving subsea modules to supporting upstream oilfield projects, Pentagon’s portfolio spans every logistical nuance of industrial supply chains.

For customers, this integration is expected to bring broader service coverage, increased responsiveness, and a deeper understanding of sector-specific logistics challenges. Both companies have stated that business continuity will remain a top priority during the transition. Staff, clients, and partners are expected to experience minimal disruption.

The transaction is subject to customary closing conditions, including regulatory clearance. Once approved, JAS will formally absorb Pentagon’s global team, facilities, and operational systems, creating a reinforced global platform to support high-value projects in key geographies such as the Middle East, Africa, Asia-Pacific, and North America.

While financial details of the deal remain undisclosed, industry observers note that the acquisition reflects a broader trend of consolidation among logistics providers targeting vertical integration and sector specialization in response to global supply chain volatility.
